These Terms of Service (“Terms”) govern your access to and use of c1v.ai and any related pages, forms, content, and communications operated by C1V Technologies, Inc. (“C1V,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

  • have the legal authority to agree to these Terms on your own behalf or on behalf of an organization.

You may use the Site only for lawful purposes and in accordance with these Terms.

3. Business Website Only; No Medical Advice

The Site is provided for general informational and business purposes. Unless expressly stated otherwise in a separate written agreement, the Site does not provide:

  • medical advice;
  • diagnosis;
  • treatment;
  • emergency services; or
  • a provider-patient relationship.

If you are experiencing a medical emergency, call 911 or your local emergency services provider immediately.

4. No Service Commitment From Site Content Alone

Any information on the Site is for general informational purposes only and does not constitute a binding offer, guarantee, or promise of results.

Submission of a contact form, request for information, or scheduling inquiry does not create a client, vendor, advisory, physician-patient, or other formal relationship. Any actual services will be governed by a separate written agreement signed by the relevant parties.

If you submit information through the Site, you:

  • represent that the information is accurate and not misleading;
  • agree not to submit unlawful, infringing, defamatory, abusive, or malicious content;
  • agree not to submit sensitive medical information through general website forms unless specifically requested through a secure process; and
  • grant us the right to use your submission as needed to respond to your inquiry, operate the Site, and conduct our business, subject to our Privacy Policy.

You agree not to:

  • interfere with or disrupt the Site or its security;

  • copy, reproduce, distribute, or exploit Site content except as allowed by law or with our written permission;

  • use the Site in a manner that could damage our business, reputation, or operations.

If you provide contact information to us, you agree that we may contact you regarding your inquiry or relationship with us, subject to applicable law and our Privacy Policy.

If you provide a mobile number and opt in to receive text messages, you consent to receive texts from C1V regarding your inquiry, scheduling, reminders, customer support, and related operational communications.

Consent to receive text messages is not a condition of purchase. You are responsible for any charges imposed by your carrier.

8. Intellectual Property

The Site and all content, features, functionality, text, graphics, images, branding, logos, software, designs, layouts, and other materials on the Site are owned by C1V or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business evaluation and lawful personal or business use.

You may not use our name, logo, branding, or content without our prior written consent, except as permitted by law.

9. Third-Party Services and Links

The Site may contain links to third-party websites, tools, integrations, or content. We do not control and are not responsible for third-party services. Your use of third-party services is governed by their own terms and privacy policies.

Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimers

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, C1V DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that any content is complete, accurate, or current.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, C1V AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, C1V’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless C1V and its officers, directors, employees, agents, affiliates, contractors, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the Site;
  • your violation of these Terms;
  • your violation of applicable law; or
  • content or information you submit through the Site.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction and venue of those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above. Your continued use of the Site after updated Terms are posted constitutes your acceptance of the revised Terms.

16. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or if necessary to protect the Site, our business, or other users.

17. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision.

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and C1V regarding the Site, unless superseded by a separate written agreement.
